Bache Samuels acts as Lead Adviser to fast-growing Pearl Comms acquisition of PR pioneer Kinetic

Our advisory team at Bache Samuels have recently successfully acted as lead advisers in supporting our longstanding client Pearl Comms, a fast-growth PR agency on its first business acquisition.

During a six-month long process, Sam Asanga from Bache Samuels has spearheaded discussions and negotiation process on behalf of the buyer, Pearl Comms. As well as negotiating the deal itself, the advisory services offered also included financial due diligence, tax and pension matters, as well as cover accounting, payroll, HR and business integration considerations.

Pearl Comms’ Managing director has been working with Sam at Bache Samuels for some years on the agency’s accounting needs, especially while navigating through the pandemic.  When the acquisition opportunity arose, it was time to take advantage of the wider advisory services on offer.

Bache Samuels is a UK-based chartered management accountancy practice that supports both UK and international clients of all sizes on accounting, advisory and project delivery. Our service offerings also includes tax planning for both individuals and businesses, business incorporation, umbrella company, UK & International VAT consulting, as well as specialist business and investment advice on acquisitions, mergers, and register of overseas entities.

Formed in 2017 by founder and managing director, Alia Al-Doori, Pearl Comms has grown rapidly over the past six years and is currently servicing a diverse, national client base comprising large corporates and multinationals, as well as thriving SMEs and startup businesses. Combined, the agency will be pushing a 20-person headcount serving sectors across property, logistics, construction, professional services and more.

Sam Asanga, Managing Partner at Bache Samuels, said:

“We are really grateful for the trust reposed in us by Alia and Pearl Comms leadership to act as lead adviser to this deal and I would like to say a big well done to the Bache Samuels advisory team (Finance, HR & Project) who have been involved in all stages of this deal.

“This acquisition is another significant milestone in the Pearl Comms success story as it consolidates its position as one of the leading PR agencies in the region. It has been great supporting Alia who has worked passionately over the years to bring alive the Pearl Comms strategic vision. The successful acquisition of Kinetic Comms and the synergy due to be unleashed from the new combined PR agency signals exciting times ahead.

“I would like to say a big congratulations to Alia on behalf of the Bache Samuels team.”

Alia Al-Doori, Managing Director of Pearl Comms, said:

“This deal simply wouldn’t have happened without Sam and the other advisers involved. As the first acquisition I have carried out, I was unsure of the process, time commitment and requirements involved. Sam and his advisory team supported at each stage. As I was also preoccupied with running the existing business, Sam was invaluable with ensuring the deal was being moved forward at those pinch points that I was unavailable.

“You know you have found a good adviser when you’re happy for them to negotiate on your behalf without you being present. I have that trust in Sam and I’m confident that he has my best interests in mind at all times – no matter whether to do with this acquisition, my personal investments or with advice on how to run the business effectively.

“Once we’ve all caught our breath, you never know, we might do it again!”
